1. What this website is
This site tells brands and businesses about our distribution business (super-stockist, distribution, CNF and wholesale work in North Bengal, Sikkim, Bhutan and the North-East) and lets you send us an enquiry. It is information, not an offer. Nothing on it forms a contract with us. A distribution arrangement is agreed only in a separate written agreement signed by both sides. The site is free to use.
2. Who may use it, and how you accept these terms
- You must be 18 or over. The site is not for children.
- If you write to us for a company or brand, you confirm that you are allowed to do so on its behalf.
- You accept these terms by ticking the consent box on a form and sending it, or by continuing to use the site after these terms have been shown to you (they are linked from every page). An agreement made online in this way is valid.
3. Sending us an enquiry
- Give us true details that are yours to give. Do not send someone else’s details without their agreement.
- Before an enquiry is sent, you tick a box to agree to how we use your details. How we use them is explained in our Privacy Policy.
- We aim to reply to every enquiry. We do not promise that we will take on any brand, territory or arrangement.
4. Acceptable use
Do not use the site, or send through its forms, anything that:
- is unlawful, or infringes someone else’s rights, including copyright, trade marks and privacy;
- is false or misleading, or pretends that you are another person or business;
- contains a virus or other harmful code;
- contains Aadhaar, PAN, card or bank numbers, passwords or other sensitive personal data. If a deal needs such details, we will tell you how to share them safely.
Do not try to break or overload the site, probe it for weaknesses, send it spam or automated enquiries, or copy it in bulk. We may remove content, block access, or refuse an enquiry if this happens, and we will cooperate with lawful orders from courts and authorities. If you see something on or sent through the site that breaks these rules, report it to our Grievance Officer (section 11). We acknowledge such a report within 24 hours and aim to resolve it within 15 days.
5. Our content
The text, design, logos and photographs on this site belong to us or are used with permission. Brand names and logos shown belong to their owners and appear only to show whom we work with or supply. You may share links to the site and quote short extracts with credit. Please ask before copying more.
6. No warranty, and limits
We try to keep the site accurate, but it is provided as it is, free of charge. Figures such as typical trade margins are general information, not advice for your business. Because the site is free and is only information, we are not liable for loss that comes from relying on it or from it being unavailable, except where the law makes us liable. Nothing in these terms excludes or limits liability for fraud, wilful misconduct, death or personal injury, or anything else the law does not allow to be excluded or limited.
7. Other websites
The site links to other websites (for example brand websites, listings and our software business at stemzo.ai). We do not control them and their own terms and privacy policies apply to them. Stemzo India Private Limited runs stemzo.ai and has its own terms.
8. Your personal data, and nominating someone
Our Privacy Policy says what we collect, why, who receives it, how long we keep it, your rights and how to complain. Nomination: under India’s Digital Personal Data Protection Act, 2023 you can nominate another person to exercise your rights over your personal data if you die or become unable to act. To do this, email the Privacy and Grievance Desk at customer@stemzo.ai with the name and contact details of the person you nominate. We will record the nomination with your enquiry record and act on it if it is needed. Nothing in these terms limits your right to complain to the Data Protection Board of India, or any other right you have under that Act or any other law.
9. Changes to these terms
We may change these terms. The version and date at the top of this page will change, and we will flag material changes on this page. The new terms apply from the date shown. If you keep using the site after that date, you accept them. A written agreement signed by both sides overrides these terms where they differ.
10. Law, disputes and general terms
- Governing law. These terms are governed by the laws of India.
- Talk first. If there is a dispute, write to the other side. If it is not settled, both sides will try mediation for 30 days after that written notice before going to court.
- Courts. If mediation does not settle it, the courts at Siliguri, West Bengal have exclusive jurisdiction. We do not require visitors to this site to go to arbitration. A separate signed distribution agreement may have its own arbitration clause.
- Time limits. Nothing in these terms shortens the time that the Limitation Act, 1963 gives anyone to bring a claim.
- Stamp duty. This site is information only, so no stamp duty arises on these terms. Any signed distribution agreement will be stamped where the law requires, and an unstamped agreement stays admissible once it has been stamped.
- Notices. We send notices to the email address you gave us, and you send them to the email address on this page.
- Survival and whole agreement. The parts of these terms that by their nature should continue (for example sections 5, 6, 8 and 10) continue after you stop using the site. These terms are the whole agreement between you and us about the site.
